This is a standalone position in the Netherlands, but you won't be operating in isolation. You'll work in close, regular contact with your colleagues in P3's legal team abroad, a genuinely tight-knit group that collaborates across borders on transactions, disputes and legal strategy. We're looking for someone who thrives in that dynamic: a true team player who is happy to give and take cross-border support, who takes ownership and leads from the front, and who acts as a real business partner to the management team.
As Senior Legal Counsel, you are the go-to legal advisor for the Dutch business, operating with autonomy while staying closely connected to the wider international legal team. Your responsibilities include:
Commercial Leasing and Asset Management
• Drafting, reviewing and negotiating lease agreements, renewals, amendments, terminations and related documentation
• Structuring and securing leasing transactions, including assignments and subleases
• Advising asset management, leasing and operational teams on day-to-day legal matters
• Identifying legal and operational risks and proposing pragmatic, business-oriented solutions
• Supporting portfolio-wide leasing strategies and lease management initiatives
Litigation and Dispute Management
• Defining dispute resolution and litigation strategy together with external counsel
• Managing disputes relating to leasing, construction, property management, service agreements and debt recovery
• Coordinating external advisors and experts in contentious matters
• Proposing practical, commercially sensible settlement solutions where appropriate
Development Projects and Transactional Advisory
• Providing legal support throughout development, acquisition, investment and disposal transactions
• Leading legal workstreams across transactions, ensuring effective risk management
• Drafting and negotiating LOIs, NDAs, exclusivity agreements and term sheets
• Drafting, negotiating and managing construction, design, consultancy, development and service agreements
• Coordinating legal due diligence processes and reporting key findings to stakeholders
• Working closely with investment, development, asset management and finance teams to align legal advice with business objectives
Corporate Legal and Transaction Structuring
• Overseeing corporate legal matters, including incorporations, restructurings, governance and intra-group transactions
• Supporting the legal structuring of acquisitions, restructurings and disposals
• Coordinating with lenders, notaries and external counsel to ensure timely execution
• Maintaining accurate legal records and document management in line with internal policies
Strategic Advisory and Compliance
• Implementing and monitoring compliance policies, including GDPR, anti-corruption and sanctions requirements
• Keeping abreast of developments in real estate, corporate and commercial law
• Advising management on regulatory developments, legal risks and business implications
Legal Function Organisation
• Building and organising the Dutch legal function in line with the standards of the broader international legal team
• Managing the work and legal costs of external counsel and notaries, aligned with group-wide reporting structures
• Master's degree in Law, with a specialisation in Real Estate Law; Commercial and Corporate Law are a plus
• Minimum of 6+ years PQE, ideally within a real estate investment company, law firm, developer, asset manager or international real estate platform
• Strong expertise across real estate transactions, acquisitions and disposals, commercial leasing, development projects, corporate law and dispute management
• A genuine team player who works well cross-border and is comfortable both giving and asking for support from colleagues in other countries
• Proactive and hands-on, someone who naturally takes the lead rather than waiting to be asked
• A strong business partner mindset, able to operate as a strategic advisor to management
• Demonstrated autonomy and sound judgment, able to manage multiple projects independently
• Excellent stakeholder management, drafting and negotiation skills
• A commercially driven mindset, able to balance legal risk with business priorities
• Experience working in an international environment is highly desirable
• Fluent in English and Dutch
